terms of service

last updated october 20, 2026

These terms are an agreement between you and Randy Yu Software LLC, a Texas limited liability company ("we", "us"), and cover the element Chrome extension, the el command-line tool and hub (together, the "software"), and elmts.dev, accounts.elmts.dev and share.elmts.dev (the "service"). By installing the software or using the service, you agree to them. If you use element for an organization, you agree on its behalf.

1. The software

We give you a personal, non-exclusive, non-transferable, revocable license to install and use the software, under these terms and the license file that ships with it. You may not resell, sublicense or redistribute it, or remove its notices. Reverse engineering is not allowed except where the law permits it despite this limit.

2. Accounts

You sign in with GitHub or Google. You must be at least 13 years old (or the age of digital consent where you live), give us accurate information, and keep your accounts and license keys to yourself. You're responsible for what happens under your account. Tell us at support@elmts.dev if you think it has been misused.

3. Plans and billing

4. Share links and your content

When you save & share an element, you upload a snapshot of it ("your content"). You keep all rights to your content. You give us a worldwide, non-exclusive license to store, process, copy and display it only as needed to run the service, for example to show it to people who open the link and to generate previews.

Share links are unlisted but public: anyone with a link can open it. You are responsible for what you share and for having the right to share it. Don't share other people's personal information, confidential material, or anything you're not allowed to copy.

Links expire as described on the pricing page and in the docs. After a link expires or is deleted, we delete the snapshot. The service isn't a backup: keep your own copies of anything important.

5. Acceptable use

Don't use element to:

We may remove content, disable links or suspend accounts that break these rules. Report abuse to support@elmts.dev; we respond to valid copyright notices and may disable accounts of repeat infringers.

6. Third-party services

element works alongside your browser, your coding agents and their AI providers, and relies on GitHub, Google, Cloudflare and Polar. Their services are governed by their own terms, and we're not responsible for them. What your agent does with what you pick is between you and your agent's provider.

7. Changes and availability

We're improving element all the time and may add, change or remove features. We try to keep the service available but don't promise it will be uninterrupted or error-free. If we materially change a paid feature for the worse, you can cancel and ask for a prorated refund of the unused period.

8. Ending

You can stop using element at any time and ask us to delete your account. We may suspend or end your access if you breach these terms, if the law requires it, or if we stop offering the service; when we can, we'll give notice, and if we discontinue a paid service we'll refund the unused part of your subscription. Sections 4 (license to your content until deletion), 9, 10, 11 and 12 survive.

9. Disclaimer

The software and service are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

10. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to element is limited to the greater of the amount you paid us in the 12 months before the claim and US $50. Some places don't allow these limits, so they may not apply to you.

11. Indemnity

If someone brings a claim against us because of content you shared or your breach of these terms, you agree to cover our reasonable costs, including legal fees, to the extent the law allows.

12. Governing law and disputes

These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Texas, and you and we consent to their jurisdiction. Before filing a claim, please email us so we can try to resolve it informally. Nothing here limits consumer rights you have under the law where you live.

13. Changes to these terms

We may update these terms. We'll change the date above, and for material changes give at least 14 days' notice by email or on this site before they apply. If you keep using element after that, the new terms apply.

14. General

These terms and our privacy policy are the whole agreement between us about element. If part of them can't be enforced, the rest still applies. Not enforcing a term isn't a waiver. You can't transfer these terms without our consent; we may transfer them with the business.
